This legal agreement between you and S.C. Micro Route Technology S.R.L. pertains to your use of the services of PlanFrame.com and PlanFrame.net. We ask that you use the services of PlanFrame.com and PlanFrame.net only in accordance with the rules established in these terms and conditions.
The plan to improve the services of PlanFrame.com and PlanFrame.net involves adding new features over time. Although we make every effort to avoid unpleasant situations, we reserve the right to modify, suspend, or adjust the services without prior notice. In the event of technical issues on PlanFrame.com and PlanFrame.net, we will promptly intervene to resolve them, which may include implementing temporary restrictions or adjustments to functionalities to address any difficulties encountered.
According to Law 365/2002 regarding electronic commerce in Romania, amended by Law 121/2006, Article 7 regarding the "Validity, Legal Effects, and Evidence of Electronic Contracts" states: (1) Contracts concluded electronically are recognized as valid and have legal effects similar to traditional contracts, as long as they meet the validity criteria provided by the legislation. (2) Prior agreement of the parties is not necessary to validate a contract made through electronic means.
By using this site, you express your agreement and understanding of the terms and conditions set forth. If you do not accept these conditions, we ask that you do not access or use the services of PlanFrame.com and PlanFrame.net, thereby avoiding the website www.PlanFrame.com and www.PlanFrame.net.
The document entitled "Terms and Conditions of Use" constitutes a legal agreement between an individual or legal entity or its delegate (referred to as "User" or "you") and S.C. Micro Route Technology S.R.L. (referred to as "Provider"), regarding the use and access of the services available on PlanFrame.com and PlanFrame.net by the User.
PlanFrame.com and PlanFrame.net are designed for exclusive use by individuals who have reached the age of 18. By using this site, you confirm that you are at least 18 years old and assume responsibility for providing accurate information and data.
PlanFrame.com and PlanFrame.net and its services are designed for use by authorized representatives of legal entities, whether belonging to the public or private sector, not for individuals acting on their own behalf. This orientation is detailed in Article 1, points 6 and 7, of Law no. 365/2002 on electronic commerce.
If an individual chooses to purchase or use the services of PlanFrame.com and PlanFrame.net for personal use, not as a representative of a legal organization, they clearly waive the consumer protection rights established in Government Ordinance 21/1992 and other relevant laws.
According to the terms explicitly accepted by a potential individual buyer, they expressly waive the possibility of requesting a refund for the money spent on the services of PlanFrame.com and PlanFrame.net, as stipulated in Government Ordinance 21/1992 and other relevant regulations. Consequently, the Provider has the right to reject any financial, compensatory, or other requests coming from an individual using the services for personal interest.
II. DEFINITIONS
For the purposes of this Agreement, except where a specific definition or different interpretation is provided within the Agreement or inferred from the context, the terms and expressions listed below shall be understood according to the meanings ascribed below:
User Account: refers to the account created by the User in the PlanFrame system for registration.
Personal Data: defines information about a User who is a natural person, including: first name, last name, Personal Identification Number, series and number of identity document, phone number, physical address, and email address.
Registration Information: represents certain personal data for natural persons and identification information for legal entities, including: entity name, registered office address, registration number with the Trade Register or establishment decision from the court and other relevant national/local registers, Unique Registration Code, and billing details such as bank details, office address, and phone number.
Company: refers to any legal entity, whether in the private sector (such as companies, associations, foundations) or public (for example, a ministry or institution), that establishes a PlanFrame account through its legal representative or delegate thereof.
Provider: designates S.C. Micro Route Technology S.R.L., a limited liability company established according to the laws of Romania, headquartered at Viitorului Street, No. 7, Suceava, Romania.
PlanFrame Solution / PlanFrame Platform: refers to the website named "PlanFrame.com" and "PlanFrame.net," including all post-authentication accessible pages (PlanFrame web portal), and to the smartphone or tablet applications owned and managed by the Provider.
III. AMENDMENTS TO THE AGREEMENT
The Provider reserves the right to make changes and updates to these Terms and Conditions at any time. The most recent version will be available on www.PlanFrame.com and PlanFrame.net. Any changes will become effective 7 days after they are published on the website, and you will be notified of them through the PlanFrame solution or via email.
The Provider may, at any time, change or suspend, either temporarily or permanently, the PlanFrame solution or any of its services, with or without notice. By using the services, you agree that the Provider will not be liable to you as a user for any change, suspension, or interruption of services.
IV. ACCOUNT CREATION AND SUBSCRIPTION PAYMENT AND ADDITIONAL SERVICES
The User has the option to create a PlanFrame account by accessing the website www.PlanFrame.com and PlanFrame.net or, as applicable, using the PlanFrame application if available on iOS and Android. In this process, they will need to provide information such as name, email address, and phone number, along with company details for which the PlanFrame account is being established.
PlanFrame offers its services in various subscription options from which the user can choose.
If the user selects a subscription with payment, payment can be made through any of the methods available within the platform.
Prices displayed on the site are exclusive of taxes; the amount paid must correspond to the total indicated on the invoice generated from the PlanFrame account or in a special offer. Prices are subject to change at any time without prior notice.
Online Card Payment
When making an online payment, you agree to the terms and conditions set by the online payment processor. The card details used for payment will be entered exclusively within the secure framework of the payment processor, and only they will have access to them. Micro Route Technology does not collect and does not store your card information. The responsibility for the security of your payment data lies entirely with the secure payment processor.
Upon the expiration of the subscription period, access to the associated features will be limited; renewing the subscription to continue using paid services on PlanFrame.com and PlanFrame.net is solely your responsibility.
Payment via Bank Transfer (OP)
Payment must be made to one of the accounts specified on the proforma invoice provided. Payment details should include information to identify the payment, such as payment reference and/or the Unique Registration Code (CUI) of the company on behalf of which the PlanFrame subscription or services are being purchased.
You are responsible for being informed about any fees that the bank may charge when making a bank transfer payment (OP). By making the payment for the PlanFrame subscription or services via bank transfer, you agree to bear these fees. If you fail to inform yourself or pay the bank fees, the Provider has the right to take appropriate measures:
a. The Provider may either adjust the validity period of your subscription to the amount actually paid to Micro Route Technology,
b. The Provider may suspend your subscription, in which case the amount received in the Provider's account as a result of your payment will be returned to your account.
Your subscription is activated through an automated system for processing bank statements within the PlanFrame solution. Therefore, activating the subscription may take a few days, depending on when the bank transfers the funds. If more than three working days pass without the subscription being activated, you can contact us by providing proof of payment at the address support@planframe.com.
Using a Voucher
A voucher either offers a discount on the full annual subscription or provides access to the features of a paid PlanFrame subscription for a specific period. Vouchers cannot be converted into cash and are not compatible with the simultaneous use of other promotional offers.
Refunds / Returns
As your subscription approaches expiration, you will receive notifications in your PlanFrame account or via email, sent to the administrator role addresses. Please check to receive these notifications from the addresses @planframe.com , @planframe.net or
@microroute.eu.
The subscription renewal process is similar to the initial payment; select an available payment method, and reactivation will be subject to the same automated bank statement processing mechanism mentioned in the "Payment via Bank Transfer (OP)" section. If the subscription expires and no payment is made for a new subscription, access to subscription-based services will be suspended.
Additional Services
If you use platform functionalities beyond your monthly or annual subscription limit, PlanFrame will notify you and generate an additional invoice for the excess usage, detailing the associated consumption. Payment of this invoice will condition continued access to the platform's functionalities.
BETA Version
As the PlanFrame platform evolves, S.C. Micro Route Technology S.R.L. offers you the opportunity to experiment with the new features introduced by providing you with temporary free access for testing.
Please note that the Terms and Conditions of using the PlanFrame solution apply consistently, including during the period when you are testing these new features or when the website is in Beta version. It is important to know that during testing, certain limitations or technical constraints may be imposed, and these will be communicated to you when you start using the respective features.
Some of these new features may be available for testing at no cost, even if they are later included in a premium package or offered as additional options. At the end of the testing period, you are free to decide whether you want to purchase the package or extra option that includes the tested functionality. Additionally, optional installation or configuration services may be available for certain features, with detailed pricing information provided before any purchase.
V. USER DECLARATIONS
By using the PlanFrame solution, you commit and warrant that:
The information provided at registration is true, accurate, and complete.
The data and information you have provided are current at the time of completing the registration form.
You have the legal representative capacity of the entity you wish to register on the PlanFrame platform or you hold a valid authorization from the legal representative to make this registration. If you do not meet these conditions, you understand that your access to PlanFrame may be restricted, and you may be asked to provide evidence of your legal representative status or authorization. You do not register as an individual acting in personal interest and, therefore, you are not eligible for consumer protection under the law, including Government Ordinance 21/1992.
You are at least 18 years of age.
VI. PROHIBITED ACTIVITIES
Access to and use of the PlanFrame solution are permitted exclusively for the purposes established and publicly presented by the Provider on the website www.PlanFrame.com and PlanFrame.net.
It is prohibited to use the solution for any other purposes, including, but not limited to, the following prohibited activities:
Committing any criminal acts or acts that cause harm, such as: child pornography, fraud, trafficking in obscene materials, drug trafficking, illegal gambling, harassment, stalking, spamming, copyright or patent infringement, theft of trade secrets.
Systematically extracting data or content from the PlanFrame solution to create collections, compilations, databases, or directories without the explicit permission of the Provider.
Any unauthorized use of the Services, including the collection of users' personal information without consent.
Unauthorized framing of content or unauthorized connection to the PlanFrame solution.
Automatic use of the system, including the use of scripts for automated actions or data mining.
Interfering with or disrupting the operation of the PlanFrame solution or associated networks/services.
Impersonating other users or individuals.
Accessing and using other users' accounts.
Using information obtained through PlanFrame to harass, abuse, or harm others.
Using the services for competitive or representative purposes without authorization.
Decompiling, reverse engineering, or attempting to decipher the source code of the software associated with the PlanFrame solution.
Using the solution in a manner incompatible with applicable laws and regulations.
Creating an account or using the solution on behalf of a legal entity without the necessary authorization.
Compliance with these rules is essential to ensure a safe and legal experience for all users of the PlanFrame solution.
If a user engages in any of the prohibited actions mentioned in section VI, the Provider has the following options, depending on the nature of the violation:
To inform the competent authorities, providing all necessary data related to the user.
To temporarily suspend the user's account until the investigations are completed or until PlanFrame representatives decide to reactivate it.
To take both measures mentioned above, as well as any other actions necessary to remedy the situation.
The user will be solely responsible for any damages, costs incurred, or reduction in the Provider's profitability as a result of their violations. They will need to fully cover these losses, including legal expenses associated with recovering damages or returning to the initial state.
This improved version clearly presents the Provider's options and the user's responsibility in case of violations, making the text more accessible and easier to understand.
VII. INTELLECTUAL PROPERTY RIGHTS
The Provider holds all intellectual property rights over the PlanFrame solution, including logos, images, structure, and design. All content of the solution, such as structure, design, images, logo, and trademarks, belongs to the Provider and is protected by copyright and other forms of intellectual property rights, according to Romanian and European legislation.
The use of the Provider's trademarks, including in combination marks or as part of domain names, is strictly prohibited if it could be misleading or without the written permission of the Provider.
The content of the PlanFrame solution is proprietary and may not be used, copied, reproduced, republished, uploaded, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited without the written consent of the owner. Systematic extraction of data or content from PlanFrame to create collections, compilations, databases, or directories without the written approval of the Provider is also prohibited.
The Provider's intellectual property rights are not transferred to the user by using the PlanFrame solution. The Provider retains all these rights, and the user is not permitted to redistribute, sell, decompile, use reverse engineering, disassemble, or convert the solution into a human-readable format.
No term in this Agreement implicitly or otherwise grants a license or right to any patent or trademark owned by S.C. Micro Route Technology S.R.L. Modifying, copying, publishing, reproducing, selling, or commercializing the PlanFrame solution or any information associated with it is prohibited.
VIII. LIMITATION OF LIABILITY
By using the PlanFrame solution, the user confirms the authenticity and accuracy of all data and information entered into the system. The user warrants that they have the legal representative status or are explicitly authorized to act on behalf of the entity they register in PlanFrame and that all generated invoices are valid and accurate. The user assumes full responsibility for the accuracy of the provided information and acknowledges that the Provider shall not be held liable for any damages suffered by the user or third parties due to inaccuracies in the provided information. If it is found that a user has added an entity to PlanFrame without the legal authority or necessary consent of that entity, the Provider has the right to remove that entity from the user's PlanFrame account and to file criminal charges against the user.
IX. PROCESSING OF PERSONAL DATA IN ACCORDANCE WITH GDPR
By using the PlanFrame solution, you authorize Micro Route Technology to process the personal data transmitted to provide you with the PlanFrame services, in accordance with the selected package. We collect and process the following categories of personal data:
For the PlanFrame account: Name, email address, and, if applicable, organization data for which the account is created.
For service usage: User's name for display in documents and any other personal data voluntarily entered into invoices or other documents.
For communication: The option to send emails through the PlanFrame platform or through our own server, with information securely stored.
Your information is stored on secure servers provided by AWS, Microsoft Azure, Serverius, Ionos, Hostinger, located for European clients in Europe, for American clients in America, and for Asian clients in Australia, respecting GDPR and Privacy Shield certifications.
Your data will not be disclosed to third parties, except to directly involved partners in providing PlanFrame services or at your explicit request. This includes payment processors, factoring service providers, or other integrated platforms.
S.C. Micro Route Technology S.R.L. adheres to the highest standards of data privacy and security, ensuring encryption of sensitive information and limited access of employees to your data, strictly for providing necessary support.
Your rights as a user:
Access: Requesting information about the processing of personal data.
Rectification: Correcting or completing inaccurate data.
Erasure: Deleting data under certain legal conditions.
Restriction of processing: Limiting data processing in certain situations.
Objection: Refusing processing based on legitimate interest.
Portability: Transferring your data in a structured format.
Filing a complaint: Addressing a complaint to ANSPDCP.
Withdrawal of consent: Cancelling consent for consent-based processing.

X. APPLICABLE LAW
All legal aspects, including rights and remedies, related to any action, event, or incident associated with the use of the PlanFrame solution or services provided by the Provider, shall be governed by and interpreted in accordance with the applicable Romanian legislation. The provisions of Government Ordinance no. 21/1992 and other related regulations, applicable exclusively to individuals, are excepted, towards which the Provider has expressly disclaimed liability.
XI. DISPUTE RESOLUTION
In the event of a dispute between you, as a User, and a third party, it is important to understand that the Provider is not obliged to intervene in any way.
By accepting this Agreement, you release the Provider, along with its officers, employees, agents, and successors, from any claims, demands, and damages, regardless of their nature, whether known or unknown, anticipated or unanticipated, public or confidential, arising from or in any way related to these disputes or the use of the Provider's Services.
In case of disagreements or disputes between you and the Provider, related to the interpretation, functioning, or use of the PlanFrame solution or associated services, which cannot be resolved amicably within 30 working days from the official notification of the complaint, they shall be subject to resolution in the courts of law in Romania (Suceava).
